Packard bell desktop PC cuts after 3 seconds.

I have a problem, my motherboard which is Mcp73vt-pm from Packard bell 2424x when I turn on the machine and u can hear the fans spin for like 3 seconds then it cuts out?

I replaced a working PSU but no joy, I replaced new memories still no joy, could it be a motherboard?

    Thanks for your help.

It maybe the main CPU over heating, take off the heatsink clean off all the old and put some new thermal paste on it, make sure the heatsink is seated properly and try again
